Terms of Use – Spec Rep AI Service

These Terms of Use govern your use of the AI Spec Rep chat service (“the Service”), provided by

Red and Black Group Pty Ltd ATF Red and Black Trust trading as Spec Up (ABN 36 270 917 042)

(“Spec Up”, “we”, “us”, “our”). By accessing or using the Service, you agree to comply with these

Terms of Use. If you do not agree, you must not use the Service.

1. Purpose of the Service

1.1. The AI Spec Rep is a digital support tool designed to assist architects, designers, and other

building professionals by providing product-related information, technical documentation, and

guidance in the Australian construction industry.

1.2. The Service is not a substitute for professional advice and must not be relied upon for final

design decisions, regulatory interpretation, or legal or compliance determinations.

2. Service Provided “As Is”

2.1. The Service is provided “as is” without warranties of any kind—express or implied.

We make no representations about:

A. the accuracy or completeness of any content

B. the suitability or fitness of the Service for your intended purpose

C. the outcomes of using information provided by the Service

2.2. You assume full responsibility for how you use the Service.

3. Accuracy and Limitations

3.1. The AI Spec Rep is powered by an artificial intelligence system trained on industry-specific

materials, including supplier content, building standards, product documentation, and other

publicly available sources.

3.2. While we strive to ensure helpful and accurate responses, the Service may:

A. contain outdated or incomplete information

B. misinterpret queries or context

C. link to documents that are no longer current

D. require additional human verification

3.3. You must confirm any information provided before relying on it in a project or compliance

context.

4. No Liability for Use

4.1. To the maximum extent permitted by law, we accept no liability for:

A. any direct, indirect, or consequential loss

B. delays, interruptions, or errors in the Service

C. decisions or outcomes based on AI-generated responses

D. the accuracy, completeness, or applicability of provided documents

4.2. Use of the Service is at your sole risk.

4.3. Nothing in these Terms of Use excludes, restricts, or modifies any consumer guarantees, rights,

or remedies conferred by the Australian Consumer Law (ACL) or other applicable legislation

which cannot be excluded, restricted, or modified by agreement.

5. Third-Party Resources

5.1. The Service may link to third-party websites, documents, or tools (e.g. supplier sites, the ABCB,

NCC references). We do not control or guarantee the accuracy, currency, or availability of third-

party content and disclaim responsibility for its use.

6. User Responsibility

6.1. You are responsible for:

A. verifying all outputs from the Service

B. ensuring information meets your project’s needs

C. seeking advice from qualified professionals (e.g. building certifiers, ESD consultants, or

engineers) where required

6.2. The AI should be used to assist—not replace—independent professional judgement.

7. Intellectual Property

7.1. All responses, documents, and underlying materials available through the Service—including

the Spec Up training guides and any original content—are the property of Spec Up or its

partners.

7.2. You may not:

A. reproduce, distribute, or republish content from the Service without permission

B. extract or reverse-engineer any part of the AI system

7.3. Nothing in these Terms of Use transfers ownership of user-uploaded content to Spec Up;

however, you grant us a licence to use such content solely for the purpose of providing the

Service and for such period as we reasonably require to comply with our obligations under

these Terms of Use.

7.4. You warrant that Spec Up’s use of any of the material you provide in a manner permitted under

these Terms of Use (including any information supplied for the purpose of your use of the

Service, will no cause Spec Up to infringe any third party’s intellectual property rights and agree

to indemnify Spec Up for any loss or damage (including legal fees and costs) incurred by Spec

Up as a result of a breach of this clause 7.4.

8. Privacy and Communication

8.1. The Service may collect non-sensitive information during your use, such as:

A. project type, stage, or location

B. firm or company name (if provided)

C. the nature of your enquiry

D. any responses and messages exchanged in the chat

8.2. By providing an email address, you consent to receive:

A. a summary of your conversation

B. technical documents or brochures

C. optional follow-up from a human specification representative

8.3. Full chat logs are collected and stored for training, quality assurance, and service

improvement purposes.

8.4. All personal information will be handled in accordance with our Privacy Policy.

8.5. Where you interact with an AI agent branded for a specific third-party business, you

acknowledge and agree that all chat logs and related data from your use of that agent may be

shared in full with that business for the purposes of customer service, quality assurance, and

product support. This is in addition to any other uses described in these Terms.

8.6. We may aggregate and de-identify user-generated data (such as enquiry types, usage patterns,

and project categories) across the Service to produce industry insights, trend reports, or

statistical summaries. No personally identifiable information or confidential project details will be

disclosed in such reports.

9. AI Limitations and Human Follow-Up

A. does not interpret the National Construction Code (NCC)

B. does not offer legal, contractual, or design advice

C. may offer to connect you with a qualified human representative for further support

9.2. You may accept or decline this offer at any time

10. Use of Supplied Documents

10.1. Documents shared through the Service (e.g. EPDs, datasheets, installation guides) are

provided by third-party suppliers.

10.2. While we aim to ensure accuracy, we cannot guarantee that these are the most current or

complete versions. You should verify all materials directly with the manufacturer or certifying

body.

10.3. This includes any BIM content or digital files provided. These should be tested in a sandbox

environment before being integrated into active design models.

11. Permitted Use

11.1. You agree to use the Service for legitimate, professional purposes only.

11.2. You must not:

A. impersonate others or misrepresent your project

B. misuse or extract AI-generated data at scale

C. use the Service to promote or disparage specific competitors

D. attempt to access backend systems or underlying AI architecture

12. Fair Use Policy

12.1. The Service is offered under a fair use model.

12.2. We reserve the right to limit, restrict, terminate or suspend access if we detect:

A. excessive or abusive use

B. attempts to overload the system

C. behaviour inconsistent with normal industry usage

D. A breach of these Terms of Use

13. Service Availability and Changes

13.1. We may update, suspend, or discontinue the Service at any time with reasonable notice.

13.2. We are not liable for any disruptions, changes in functionality, or loss of access.

14. Changes to These Terms of Use

14.1. These Terms of Use may be updated periodically. The most recent version will always be

available within the Service interface or at www.specrephelpdesk.com

14.2. Continued use of the Service after an update constitutes acceptance of the new terms.

14.3. We will provide reasonable notice of material changes to these Terms of Use via the Service or

by email where practicable.

15. BIM Content and Digital Files

15.1. If the Service provides BIM files (e.g. Revit families, IFC files, CAD blocks) or other

downloadable digital content, these are provided strictly as-is.

15.2. We do not warrant that these files:

A. are free of errors or corrupt elements

B. are compatible with your version of design software

C. will not disrupt or damage your active project model

15.3. You are solely responsible for testing and validating all digital files in a safe environment before

use.

15.4. We are not liable for any file corruption, project disruption, or data loss resulting from use of

BIM content provided via the Service.

16. Data Logging and Confidentiality

16.1. All interactions with the Service are logged and stored in full for the purposes of:

A. service quality monitoring

B. system improvement and accuracy refinement

C. escalation and handover to human specification representatives (if required)

16.2. By using this Service, you acknowledge and consent to the storage and internal review of your

chat content.

16.3. You are strictly prohibited from entering confidential or commercially sensitive information into

the chat. This includes, but is not limited to:

A. personal identifying information (PII) of individuals

B. proprietary architectural plans, drawings, or unpublished specifications

C. project-specific legal, contractual, or dispute-related information

D. commercially sensitive pricing, costings, or tender information

16.4. We accept no responsibility for the misuse or accidental disclosure of confidential information

entered into the Service by the user. If confidential information is inadvertently shared, please

contact us immediately at info@specup.agency so we can investigate and, if possible,

remove the data.

16.5. Upon request, and subject to legal and technical limitations, we will use reasonable endeavours

to delete such data from our systems.

17. Interpretation and General

17.1. This Agreement is governed by the laws of Victoria, Australia. Any disputes arising from this

Agreement shall be subject to and both parties consent to the exclusive jurisdiction of the

courts of Victoria, Australia.

17.2. Both parties consent to the use of electronic signatures in accordance with the Electronic

Transactions (Victoria) Act 2000 (VIC) and any equivalent legislation in relation to all matters

relating to this Agreement.
